This End User License Agreement ("Agreement") is a legal contract between you ("you" or "User") and QCal, Inc. ("QCal", "we", "us", "our") governing your use of the QCal mobile application and any related services (collectively, the "App").
By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not install or use the App.
1. License Grant
QCal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on a device that you own or control, for your personal, non-commercial use, in accordance with the App's usage rules and this Agreement.
2. Restrictions
You agree NOT to:
- Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the App.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except where this restriction is prohibited by applicable law.
- Remove, alter, or obscure any proprietary notices on the App.
- Use the App in any way that violates applicable law or the rights of others.
- Use the App to develop a competing product or service.
3. Subscriptions & In-App Purchases
The App may offer auto-renewing subscriptions and in-app purchases. All purchases are processed through the Apple App Store or Google Play Store and governed by those platforms' terms. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. Manage or cancel through your device's store settings.
4. Health Disclaimer
The App provides nutrition estimates and tracking features for informational purposes only. The App is not a medical device and does not provide medical, nutritional, or professional health advice. Always consult a licensed professional before making changes to your diet or exercise routine.
5. User Content
You retain ownership of any photos, text, or other content you submit through the App ("User Content"). By submitting User Content, you grant QCal a worldwide, royalty-free, sublicensable license to host, process, analyze, display, and otherwise use the User Content as needed to operate, improve, and offer the App and its features.
6. Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated by reference.
7. Intellectual Property
The App, including all software, designs, text, images, and trademarks, is owned by QCal or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8. Termination
This Agreement remains in effect until terminated by you or QCal. We may suspend or terminate your license at any time if you violate this Agreement. Upon termination, you must stop using and uninstall the App.
9. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QCAL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID QCAL IN THE PRIOR 12 MONTHS, OR (B) USD $100.
11. Apple App Store Additional Terms
If you downloaded the App from the Apple App Store, the following additional terms apply:
- This Agreement is between you and QCal only, not Apple. Apple is not responsible for the App or its content.
- Apple has no obligation to provide maintenance or support for the App.
- In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation.
- Apple and its subsidiaries are third-party beneficiaries of this Agreement and have the right to enforce it.
12. Google Play Additional Terms
If you downloaded the App from Google Play, your use is also subject to the Google Play Terms of Service.
13. Governing Law
This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles.
